Participation Agreement

Jurisdiction: Kenya

This Participation Agreement (“Agreement”) is entered into between you (“Agent,” “you,” or “your”) and Hokela Interactive Africa Ltd (“Hokela,” “we,” “our,” or “us”). By registering as an Agent with Hokela and using our platform, you acknowledge that you have read, understood, and agreed to the terms and conditions set out in this Agreement, together with the Privacy Policy and any other policies referenced herein.

1. Eligibility

To participate as a Hokela Agent, you must:

• Be at least 18 years old.
• Possess a valid Kenyan National ID or recognized form of identification.
• Have a registered and active mobile phone number.
• Successfully complete Hokela’s onboarding, verification, and training processes.

We reserve the right to deny or revoke Agent participation at our sole discretion.

2. Relationship of the Parties

You acknowledge and agree that:

• You are an independent contractor and not an employee of Hokela.
• Nothing in this Agreement creates an employer-employee relationship, partnership, joint venture, or agency between you and Hokela.
• You are responsible for your own tax filings, statutory contributions, and compliance with applicable laws.

3. Registration and Hokela Wallet

When you register with Hokela, a Hokela Wallet (“Payment Account”) will be automatically created for you. The Hokela Wallet will be used to process payments for work completed, allowances, and any other applicable financial transactions.

• Hokela reserves the right to hold funds, suspend withdrawals, or freeze amounts in your Hokela Wallet if:
• Verification or compliance checks are pending.
• A dispute or fraud investigation is ongoing.
• You breach this Agreement or Hokela policies.
• Wallet balances may be subject to minimum holding periods or transaction limits as required by law or system operations.

4. Assignment of Work

• Hokela may provide you with access to assignments through its platform.
• Acceptance of an assignment does not guarantee future work.
• Certain assignments may require the collection or submission of audio and video recordings for task execution, verification, quality assurance, training, or client reporting.
• You are solely responsible for completing assignments honestly, professionally, and in accordance with Hokela guidelines.
• Failure to complete or falsifying work may result in suspension or termination of your account.

5. Payments

• Payments for completed and verified assignments will be credited to your Hokela Wallet.
• You may request withdrawals from your Hokela Wallet to your linked mobile money or bank account, subject to applicable fees.
• Hokela reserves the right to delay, withhold, or adjust payments in cases of fraud, error, or violation of this Agreement.

6. Agent Conduct

As an Agent, you agree to:

• Accurately represent yourself and your work.
• Avoid sharing confidential or proprietary information outside of assignments.
• Not misuse or manipulate the Hokela platform.
• Comply with all applicable Kenyan laws and Hokela policies.

7. Confidentiality & Intellectual Property

• You agree to keep confidential all information obtained during assignments, including client data, strategies, and materials.
• Any materials, reports, or deliverables created during assignments shall remain the property of Hokela or its clients.

8. Termination

Hokela may suspend or terminate your participation at any time, with or without cause, if you:

• Breach this Agreement or our policies.
• Engage in fraudulent, dishonest, or illegal conduct.
• Misuse the Hokela platform.

You may also terminate this Agreement at any time by closing your Agent account. Any remaining balance in your Hokela Wallet will be subject to review before withdrawal.

9. Limitation of Liability

To the fullest extent permitted by Kenyan law, Hokela shall not be liable for:

• Loss of income, profits, or opportunities.
• Indirect, incidental, or consequential damages.
• Delays, errors, or failures outside Hokela’s reasonable control.

10. Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of Kenya. Any disputes arising from this Agreement shall be resolved through good-faith negotiations, and if unresolved, submitted to arbitration in Nairobi, Kenya, in accordance with the Arbitration Act (Kenya).

11. Amendments

Hokela reserves the right to amend this Agreement at any time. Notice of updates will be provided via the Hokela platform, email, or WhatsApp. Continued participation as an Agent constitutes acceptance of the updated terms.
